Our Offerings
The Restructuring Advisory is likely to follow four critical phases
The Diagnostic and Analysis phase involves:
- Historic performance and the business plan including short and medium-term financial projections
- Financial models and sensitivity analyses/flexings
- Cashflows including a critical appraisal of current cashflow allocation/ working capital and identification of any available free cashflow
- Capital allocation and capital expenditure
- Borrowing facilities including financial and other covenants and collateral to assess the trigger points and identify any surplus collateral
- Other liabilities including contingent liabilities
The development phase involves:
- Preparation of a preferred restructuring proposal (having considered alternatives) and strategy for approaching the financial creditors
- Identification of any inter-creditor issues that might arise between different institutions
- Advising on different funding sources (traditional and non-traditional), where appropriate, to better fit the company’s overall financial needs
- Consideration of how best to preserve and protect key assets and the overall wealth of the group
The negotiation phase involves:
- Presentation of the restructuring proposal to the banks
- Assisting the company in answering questions and addressing any issues
- Encouraging banks to standstill and forbear, whilst the restructuring proposal is implemented
The execution phase involves:
- Supervising the documentation of the agreed restructuring
- Signing and completion
- Ensuring that all conditions precedent and other terms and conditions are fulfilled
